Innovation has been the great competitive advantage for successful companies in the last decades, and more and more Research & Development and Innovation(R&DI) projects are being studied and executed. However, this kind of initiative has very specific characteristics, as they present high risk and uncertainties when compared to conventional projects. Research and Development initiatives should be managed differently, from their conception (creation of new projects) and throughout their life cycle, execution, monitoring and outcome analysis. In 2011, realizing the need to invest in R&D projects, the company Nexa Resources restructured its Innovation area and created the Technology Board, focusing on the implementation of R&D projects. A specific governance was developed to manage these projects, where management processes were defined and standardized, as well as the innovation strategy that the company would follow in its strategic planning. This paper presents the governance model that was developed by the company, portraying a successful case of innovation management in a major company.
